Terms of Service

These Terms govern use of HappyFish ERP, a service provided by 深圳市开心鱼科技有限公司 (Shenzhen HappyFish Technology Co., Ltd., “HappyFish,” “we,” or “us”). By using the service on behalf of an organization, you confirm that you have authority to bind that organization.

1. Service

HappyFish ERP provides controlled product, listing, pricing, inventory, and basic operational order workflows for seller organizations. Features and supported marketplaces depend on the agreed plan and authorized permissions.

2. Accounts and authorization

You must provide accurate account information, protect credentials, assign access only to authorized users, and promptly remove access that is no longer needed. Each seller must explicitly authorize HappyFish ERP through Amazon OAuth. Authorization may be revoked through the seller’s Amazon account.

3. Acceptable use

You may not use the service unlawfully; access another organization’s information; bypass security controls; introduce malicious code; interfere with service operation; scrape or resell the service; or use Amazon Information outside the purposes permitted by Amazon policies and your authorization.

4. Customer data

You retain ownership of information you provide and remain responsible for its accuracy and lawful use. You authorize us to process that information only as needed to provide and secure the service. We do not sell Amazon Information or use it for advertising.

5. Fees

Pricing is quoted based on store count, required modules, support, and operating scope. Applicable fees, payment schedules, and renewal terms will be stated in the accepted order or service agreement.

6. Security and confidentiality

Each party will use reasonable safeguards to protect confidential information. Our security controls include role-based access, least-privilege permissions, encryption in transit, secure credential storage, logging, and incident response procedures.

7. Third-party services

The service interoperates with Amazon Selling Partner API and infrastructure providers. Third-party availability and policies may affect functionality. Amazon is not a party to these Terms, and HappyFish ERP is an independent service not endorsed by Amazon.

8. Suspension and termination

We may suspend access to address a security risk, unlawful use, material breach, or overdue payment. Either party may terminate according to the applicable service agreement. Following termination or authorization revocation, data is handled under our Privacy Policy and applicable retention obligations.

9. Service availability and liability

The service is provided with reasonable care but may be interrupted for maintenance, security, or events outside our control. To the extent permitted by applicable law, neither party is liable for indirect, incidental, special, or consequential damages. Any specific warranties or liability limits in a signed service agreement take precedence.

10. Governing terms and contact

Applicable law and dispute terms may be specified in the signed service agreement. If none are specified, the laws applicable to the service provider’s registered location govern, subject to mandatory law. Questions may be sent to support@amztk.org.
